1. Scope and Acceptance

By accessing or using the Via Hive Platform, you agree to these Terms of Service and all related policies, including the Client Privacy Policy, Trust & Safety Policy, and Refund Policy.
  If you do not agree, do not use the Platform.

2. Key Definitions

Client (“you”) – person or entity requesting services.
 
Provider / Professional – independent contractor offering services.
 
Job – a single booking or service transaction.
 
Escrow – funds held by Stripe until completion.
 
Platform – Via Hive’s websites, mobile apps, and backend systems.

3. Platform Description

Via Hive operates a nationwide marketplace connecting Clients with independent Providers.
  Via Hive provides technology, escrow handling, and communication tools but does
not employ or insure Providers.
  Each booking forms a
direct contract between Client and Provider.

4. Payments and Escrow

  • Payments processed securely through Stripe under PCI DSS v4.0.

  • Funds remain in escrow until the Client confirms completion.

  • Via Hive never stores full card data.

  • Refunds handled under § 8.

5. Cancellations

  • Clients may cancel before a Provider begins travel or work.

  • Late cancellations may incur partial charges.

  • Provider cancellations or no-shows result in a full Client refund.

  • Disputes must be submitted within 48 hours of completion.

6. Provider Obligations

Providers act as independent contractors responsible for all licensing, insurance, taxes, equipment, and compliance with applicable laws.

7. Trust & Safety

  • Mandatory background screening (via Checkr).

  • Real-time GPS tracking and geofence alerts.

  • Zero tolerance for harassment, discrimination, or unsafe conduct.

  • Emergency assistance via in-app Safety Center or 911 link.

8. Refunds and Dispute Resolution

  1. Client submits complaint in-app.

  2. Via Hive reviews within 3 business days.

  3. Approved refunds processed within 5 business days.

  4. Both parties may upload evidence.

  5. Escalation path: Client → Provider → Hive Support → Admin → Arbitration.

9. Insurance and Coverage

Via Hive is not an insurer. Certain categories may include platform-facilitated coverage disclosed prior to acceptance.
  Clients should verify additional insurance directly with Providers.

10. Accessibility and Non-Discrimination

Via Hive complies with ADA, EEOC, and civil-rights laws.
  Providers may not refuse lawful service based on protected traits.
  Reasonable accommodations will be made where feasible.

11. Electronic Communications Consent

Using the Platform authorizes Via Hive to send emails, SMS, and push notifications for account, booking, and safety updates.
  Marketing communications are optional and may be opted out at any time.

12. Privacy and Data Protection

Via Hive collects and processes data solely to deliver, secure, and improve the Platform.
  All personal information is handled in accordance with the
Via Hive Client Privacy Policy (VH-PP-2025), which forms part of these Terms by reference.
  Data is encrypted in transit and at rest and shared only with trusted processors (Stripe, AWS, Twilio, Checkr).
  Users may request access, correction, or deletion consistent with applicable law.

13. API and Third-Party Developers

All integrations require OAuth 2.0 authentication.
  No scraping, resale, or long-term storage of Via Hive user data is permitted.

14. Compliance and Audit Cooperation

Via Hive may audit Provider licensing or insurance; documents must be supplied within 5 business days.
  Non-compliance may result in suspension or removal.

15. Regulatory Cooperation

Via Hive complies with lawful requests from courts, regulators, and law-enforcement in accordance with due-process standards.

16. Arbitration and Dispute Resolution

Unresolved matters after internal review proceed to binding arbitration under AAA Rules in Miami-Dade County, FL.
  No class actions; small-claims remedies remain available.
  Each party bears its own costs unless otherwise ordered.

17. Limitations of Liability

Services are provided “as is.”
  Via Hive’s total liability shall not exceed USD $100.
  No liability for indirect, consequential, or punitive damages.

18. Intellectual Property

All software, trademarks, and designs are the property of Via Hive LLC.
  Limited, revocable license for lawful use only.
  Unauthorized reproduction or scraping is prohibited.

19. Indemnification

You agree to defend and hold harmless Via Hive LLC, its affiliates, officers, and employees from any claim arising from your actions or breach of these Terms.

20. Force Majeure

Neither party is liable for failure caused by events beyond reasonable control (natural disasters, cyber-attacks, labor disputes, or government restrictions).

21. Export Control and Sanctions

Users shall not access or use Via Hive in violation of U.S. export-control or OFAC sanctions laws.

22. Assignment and Transfer

Via Hive may assign its rights or obligations in connection with merger or restructuring.
  Users may not transfer their rights without written consent.

23. Subcontractors and Affiliates

Via Hive may engage approved affiliates (e.g., Stripe, AWS, Checkr) under equivalent data-protection and security standards.

24. Severability and Waiver

Failure to enforce any provision is not a waiver.
  If any term is invalid, remaining provisions remain in force.

25. Entire Agreement and Precedence

These Terms, together with the Client Privacy Policy and other linked documents, constitute the entire agreement and supersede all prior versions.

26. Survival of Obligations

Provisions relating to arbitration, intellectual property, indemnity, and liability survive termination.

27. Governing Law and Venue

Governed by Florida and U.S. federal law.
  Venue exclusively in Miami-Dade County courts or arbitration panels.

28. Modifications of Terms

Via Hive may update these Terms by posting revisions online.
  Continued use after notice constitutes acceptance.
  Material changes will be dated and highlighted.

29. Language and Localization

The English version governs. Translations are provided for convenience only.

30. User Verification and Fraud Prevention

Via Hive may verify identities, perform background or payment-risk checks, and suspend accounts suspected of fraud or misuse.

31. Tax Reporting and Withholding

Providers are responsible for all tax obligations.
  Via Hive may report or withhold payments when required (e.g., IRS Form 1099-K).

32. Feedback and Reviews

Reviews must reflect genuine experiences. Via Hive may remove content that is false, abusive, or defamatory.

33. Security Disclosure

Researchers may responsibly report vulnerabilities to [email protected].
  Public disclosure before remediation is prohibited.

34. DMCA / IP Takedown Procedure

Notices of infringement should be sent to:
