1 · Definitions

“Via Hive,” “we,” “us” = Via The Hive LLC.
  “Provider” / “Pro” = independent professional or business using the platform to offer services.
  “Client” = service purchaser.
  “Job” = service engagement booked on the platform.
  “Escrow” = funds held through St
ripe Connect.
  “Wallet / Payouts,” “Shift Tracker,” “Work Method,” and “Nation / Admin Dashboard” have the meanings set forth in the Via Hive system documentation.

2 · Eligibility & Onboarding

Providers must be 18 years or older and legally competent. By registering or activating a Provider account, you represent that you have full legal capacity to enter into binding agreements.
  Providers must complete KYC / AML verification and supply accurate tax data.
  All required licenses,
permits, and insurance must be maintained.
  Background screening via
Checkr (FCRA-compliant) may be required.

3 · Independent Contractor Status

You are an independent contractor — not an employee or agent of Via Hive.
  You control your methods and tools, bear your own expenses, and may work elsewhere.
  This Agreement does not create any joint venture, partnership, or employment relationship.
  Off-
platform payment for Via Hive-sourced leads is strictly prohibited (§ 15.2).

4 · Provider Account & Security

Maintain accurate profile information and secure credentials.
  Tampering with GPS signals or Shift Tracker is forbidden.

5 · Service Listings, Rates & Offers

Enter accurate rates for all supported Work Methods (hour, day, unit, sq ft, session, etc.).
  Define scope for fixed bids and comply with license requirements.

6 · Booking, Escrow & Completion

Client funds Escrow before start.
  Provider uses Shift Tracker (status badges En Route → Completed).
  Upload photo / media logs.
  Funds release on Client approval or per auto-release policy.
  All in-app milestones, photos, and timestamps form the official
record of completion for compliance and payment verification.

7 · Payouts, Fees & Taxes

Payouts through Stripe Connect.
  Platform / processor fees shown in-app (Appx A).
  Chargebacks may offset future payouts.
  Where required by law, Via Hive or its processor may withhold and remit taxes to authorities.
  All payouts are processed under
Stripe Connect terms (https://stripe.com/connect-account/legal); Stripe acts as a data controller for KYC and payout verification.

8 · Cancellations, Reschedules & No-Shows

Submit cancellation reasons in-app. Penalties per Appx A.
  Client no-shows must be documented for review.
  Either party may reschedule prior to start.

9 · Disputes & Refunds

Three-tier resolution: (i) in-app chat → (ii) Admin review → (iii) arbitration (§ 22).
  Evidence includes Shift Tracker, photos, messages.
  Admin decision binds Escrow release / refund within platform limits.

10 · Quality & Safety

Provide workmanship meeting professional standards and law.
  Follow OSHA and local rules and Client site policies.
  No illegal or restricted services.

11 · Ranking & Reviews

Ratings visible to Clients.
  Reliability scores reflect punctuality, cancellations, and disputes.
  No manipulation of reviews.

12 · GPS, Shift Tracking & Anti-Fraud

Live GPS and AI abuse detection operate during Jobs.
  Tampering results in suspension or deactivation.
  Use of GPS and Shift Tracker features is subject to the
Privacy Policy (VH-PP-2025-R18) § 2.1 (Location & Marketing Consent).

13 · Content & Intellectual Property

Deliverables transfer to Client upon payment unless otherwise agreed.
  Provider grants Via Hive a limited license to store Job media for support and dispute purposes.
  Follow VH-IPT-2025 for brand use.

14 · Data Protection & Privacy

Governed by Provider Privacy Policy (VH-PPP-2025-R18) and Cookie & Data Retention Policy (VH-CDR-2025-R3).
  All processing follows Via Hive’s Global Privacy Policy (VH-PP-2025-R18) and applicable data-protection frameworks.
  Providers may request one machi
ne-readable export per year of personal, activity, and tax records via [email protected].

15 · Platform Integrity & Fair Use

Use only in-app communication.
  Off-platform transactions forbidden (12-month restriction).
  No harassment or unsafe conduct.
  Comply with FCPA and U.K. Bribery Act.
  Report misconduct to [email protected] — non-retaliation guaranteed.

16 · Insurance & Risk

Maintain commercial liability insurance (min. $1 M per occurrence).
  Provide proof on request (digital copies accepted).
  Via Hive not liable for service performance.

17 · Payment Integrity & Chargebacks

Provide requested evidence for chargeback reviews.
  Via Hive may offset future payouts to cover losses.

18 · Background Checks & Regulated Categories

Authorize Checkr screening when required.
  Receive notice of adverse action and dispute rights.
  Periodic re-checks may occur or be triggered if a new regulated category is added to your profile.

19 · Term, Suspension & Termination

Agreement continues until terminated by either party.
  Suspension for fraud, risk, or policy breach.
  No liability for Force Majeure events (natural disasters, war, pandemics, etc.).

20 · Deactivation & Appeals

See Deactivation & Appeals Policy (VH-DSA-2025).
  Appeals must be submitted within the designated window.

21 · Indemnity, Disclaimers & Liability Limits

Provider indemnifies Via Hive and affiliates for claims arising from services or violations.
  Aggregate liability = fees paid in previous 6 months or $500 (whichever greater).
  Nothing in this Agreement limits liability for fraud, gross negligence, or will
ful misconduct.

22 · Dispute Resolution & Arbitration

Binding arbitration in Miami-Dade under AAA or JAMS rules.
  No class actions. 30-day opt-out via [email protected].

23 · Multi-Region Clause & Local Law

Local supplements may be issued per jurisdiction.
  Provider remains responsible for local law compliance.

24 · Modifications, Notices & Survival

Updates posted with revision codes; continued use = acceptance.
  Legal notices to [email protected].
  Historical versions archived at / legal / version-control.
  Designated sections survive termination.

25 · Entire Agreement

This document and incorporated policies constitute the entire Provider Agreement and are subject to the Via Hive Legal Overview (VH-LO-2025-R8 or later).

26 · Electronic Signature & Governance

Electronic acceptance constitutes a binding signature under U.S. E-SIGN Act, UETA, and global equivalents (GDPR Recital 42, eIDAS).
  Governing Language: English version controls.
  Digital audit trail retained with immutable timestamp logs of acceptance and
revisions.

Appendix A — Standard Fees & Penalties

Platform fee, instant-payout fee, chargeback recovery, late-cancel penalty, no-show credit, off-platform liquidated damages, verification fees — as displayed in-app and Fee Schedule.

Appendix B — Evidence Standards

Shift Tracker timestamps, photo logs, messages, receipts, and safety notes serve as primary records for disputes.

Appendix C — Category & License Matrix

Rules for home services, health & wellness, transport / delivery, child / elder care, and security categories.
